These Terms of Service (the “Terms”) are a binding agreement between you and Trumiq, Inc., a Delaware corporation (“Trumiq,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, or using the website, applications, AI agents, matching features, communications, and related services (collectively, the “Service”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Authority

You must be at least 18 years old and legally able to enter into this agreement. By registering, you represent that you are at least 18. If you use the Service for an organization, you represent that you have authority to bind it. We may request reasonable age or identity verification and may close accounts that do not meet these requirements.

2. The Service

Trumiq is an AI-powered social compatibility platform. Personal AI agents communicate using profile information, preferences, and communication-style inputs supplied by users to identify potential matches and produce compatibility assessments. AI output can be incomplete, inaccurate, or inappropriate and is provided for informational purposes only. It is not a guarantee of compatibility, identity, conduct, or relationship outcome.

3. Accounts and Security

You must provide accurate, current, and complete account information, maintain one account per person, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by our failure to use reasonable safeguards.

4. Safety and User Interactions

Trumiq does not guarantee that users are who they claim to be and does not conduct a criminal background check unless a feature expressly says otherwise. Use judgment when communicating or meeting, protect financial and sensitive information, meet in a public place, and contact emergency services when necessary. You are solely responsible for interactions with other users, subject to rights that cannot lawfully be waived.

5. Your Content and AI Agent

You retain ownership of profile information, photos, messages, and other content you submit (“User Content”). You grant Trumiq, Inc. a non-exclusive, worldwide, royalty-free license to host, copy, process, display, and transmit User Content only as reasonably necessary to operate, secure, and improve the Service and as described in the Privacy Policy. You are responsible for the accuracy and legality of inputs used by your agent and may not direct it to mislead, harass, discriminate, or violate another person’s rights.

6. Subscriptions and Automatic Renewal

Free and paid features may be offered. Before purchase, the checkout screen will clearly display the price, billing interval, trial or promotional period (if any), renewal terms, taxes, and how to cancel. Unless the checkout screen states otherwise, a paid subscription automatically renews for the same billing interval and the payment method on file is charged at the start of each period until you cancel.

You may cancel an online subscription online through account settings or by contacting support. Cancellation stops future renewals and normally takes effect at the end of the current paid period. We will provide any renewal notice required by applicable law. Price changes apply prospectively after any required notice. Your purchase confirmation and checkout disclosure control if they contain more specific terms.

7. Refunds

Refund eligibility, billing-error handling, and processing times are described in our Refund Policy, which is incorporated into these Terms. Nothing in these Terms limits a refund, cancellation, chargeback, or other consumer right that cannot lawfully be waived.

8. Acceptable Use

Do not harass, threaten, stalk, exploit, discriminate against, or deceive another person.
Do not create a false profile, impersonate another person, solicit money, or facilitate fraud or unlawful activity.
Do not upload illegal, infringing, sexually exploitative, violent, or malicious content, or any image depicting a minor.
Do not scrape the Service, bypass access controls, probe security, reverse engineer protected portions, overload systems, or use unauthorized bots or scripts.
Do not use the Service for commercial solicitation, advertising, or any purpose prohibited by law.

9. Intellectual Property

Trumiq, Inc. and its licensors own the Service, software, visual design, trademarks, and original content, excluding User Content and third-party materials. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for lawful purposes. No other license is granted.

10. Privacy

Our Privacy Policy explains how we collect, use, disclose, and retain personal data, including sensitive profile information used for matching. Where consent is required, you may withdraw it as described in that policy.

11. Third-Party Services

The Service may use or link to authentication, hosting, payment, email, maps, security, and AI providers. Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party services, but this does not limit obligations that applicable law places on us.

12. Suspension and Termination

You may stop using the Service or delete your account at any time. We may restrict or terminate access when reasonably necessary to protect users or the Service, investigate suspected abuse, comply with law, or address a material breach. Provisions that by their nature should survive termination will survive.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TRUMIQ, INC. DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT GUARANTEE USER IDENTITY OR CONDUCT, MATCH QUALITY, AI OUTPUT, UNINTERRUPTED AVAILABILITY, OR ANY PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUMIQ, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES. OUR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID US DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.

15. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Trumiq, Inc. and its directors, officers, employees, contractors, and affiliates from third-party claims and reasonable costs arising from your unlawful use of the Service, your User Content, or your material breach of these Terms.

16. Changes

We may update the Service and these Terms. If a change materially reduces your rights, we will provide reasonable advance notice through the Service or by email when required. The date above identifies the current version, and changes apply prospectively unless law requires otherwise.

17. Delaware Law and Forum

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to any non-waivable consumer right to bring a claim elsewhere, the state courts located in New Castle County, Delaware, and the United States District Court for the District of Delaware have exclusive jurisdiction, and you and we consent to those courts.

18. General

If a provision is unenforceable, it will be modified only as much as necessary and the remainder will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law. These Terms, the Privacy Policy, and the Refund Policy are the entire agreement about the Service.
